We also reserve the right to pass on to you any additional costs associated with processing payments with American Express credit cards. Plura determines the fees and fees are added on top of the ticket price. In addition, certain fees may mean, on average, to defray certain costs incurred by Plura, but may in some cases include an element of profit and in some cases include an element of loss. Plura does not control (and thus cannot disclose) fees levied by your bank and/or credit card company, including fees for purchasing tickets and registrations in foreign currencies or from foreign Persons. Be sure to check with your bank or credit card company prior to engaging in a transaction to understand all applicable fees, credit card surcharges and currency conversion rates. These fees may vary based on individual agreements between Plura and certain Organizers.

c) Payment Settlement
The amount owed to Organizers is detailed in Attachment 1.

However, Plura reserves the right to retain the amount owed or a part of the amount owed (with the amount being determined by Plura in its discretion) to fund a reserve.
● At any time as we determine in our discretion to be necessary based upon the level (or expected level) of refunds, disputed charges, chargebacks, customer complaints, allegations of fraud or changes in Organizer’s credit profile or the underlying event(s)’ risk profile; and
● As otherwise necessary to secure the performance of your obligations under the Terms of Use or to protect Plura against fraudulent or erroneous activity. Plura’s right to hold these funds will continue following the applicable event(s) and until Organizer and any of its affiliates have discharged all obligations under the Terms of Use or other applicable agreement for Services provided by Plura and the applicable periods for refunds, disputed charges, chargebacks, and complaints have passed. Any payments (such as pre-releases) made to Organizers prior to completion of the event is at the discretion of Plura.
e) Payment Method
Plura will transfer the funds to the Organizer through Gusto or Brex payments systems. Organizers are solely responsible for nominating a valid bank account for the purpose of receiving the proceeds of ticket sales under this clause. In the event that valid bank account details are not provided, we will attempt to contact the Organizer through the email address supplied to request that valid bank account details are provided so the proceeds of ticket sales from the Event can be paid. ● within 12 months from the Event date (where proceeds of the ticket sales for the Event are less than $100); and
● within 36 months from the Event date (where proceeds of the ticket sales for the Event are more than $100).
To the extent permitted by law, the Organizer releases Plura from any claim it may have against Plura in connection with the transfer of proceeds of ticket sales in accordance with this clause.

Plura’s fees are non-refundable. Organizers control their own refund policies with respect to ticket costs. Please be aware that your ticketing and refund policies may be subject to local consumer protection laws, and it is your responsibility as an Organizer to ensure compliance with any such laws and all Applicable Laws. In any circumstance, Plura may at its sole discretion decide whether to provide a refund to the attendee.
g) Refund Process
Organizers are responsible for managing their own refund processes, and you acknowledge and agree that Plura has no obligation to manage or otherwise have any involvement in your refund process. In order to initiate a refund request, Plura instructs Attendees to contact the Organizer directly. If you have any questions about establishing and managing a refund process, please contact us.

As part of Plura’s activity as limited payments agent, Plura will use commercially reasonable efforts to manage the re-presentment of such chargebacks and reversals on behalf of Organizer and Organizer hereby authorizes Plura to do so and agrees to use reasonable efforts to cooperate with Plura in such re-presentment. However, Plura will have no obligation to re-present any chargeback that it believes in its discretion it is more likely than not to lose or that relates to a transaction that should be refunded in accordance with the Organizer's refund policy. Both parties agree that Plura’s loss of any chargeback that has been re-presented by Plura will not in any way limit Organizer's obligation to reimburse Plura and its affiliates under this paragraph.

There may come a time where either you or Plura decides it’s best to part ways, as described below. When that happens, these Terms will generally no longer apply. However, as described below, certain provisions will always remain applicable to both you and Plura. Plura may terminate your right to use the Websites at any time (a) if you violate or breach these Terms; (b) if you misuse or abuse the Websites, or use the Websites in a way not intended or permitted by Plura; or (c) if allowing you to access and use the Websites would violate any applicable local, state, provincial, national and other laws, rules, and regulations or would expose Plura to legal liability. In addition, Plura may at any time, and in its sole discretion, choose to stop offering the Websites, or any particular portion of the Websites, or modify or replace any aspect of the Websites, at any time. We will use reasonable efforts to provide you with notice of our termination of your access to the Websites. You acknowledge and agree that Plura will not be liable to you or any third-party as a result of its termination of your right to use or otherwise access the Websites. Except to the extent you have agreed otherwise in a separate written agreement between you and Plura, you may terminate your access to the Websites and the general applicability of Terms by deleting your account. If there is a separate agreement between you and Plura governing your use of the Websites and that agreement terminates or expires, these Terms (as unmodified by such agreement) will govern your use of the Plura after such termination or expiration. In all such cases, the Terms shall terminate, including, without limitation, your license to use the Websites, except the following sections shall continue to apply: Section 10 (“Intellectual Property Ownership”), Section 17 (“Termination”), Section 18 (“Disclaimer”), Section 20 (“Limitation of Liability”), Section 21 (“Indemnification”), Section 22 (“Dispute Resolution through Arbitration”), Section 23 (“Severability”), Section 25 (“Licenses and Permits
Organizers Must Obtain”), Section 26 (“Notices”), Section 29 (“Entire Agreement”), and Section 32 (“Additional Miscellaneous Provisions”).
17. Disclaimer
We strive to provide our Websites in the way you need them, but there are some things it is important for you to understand that we cannot promise. To the extent permitted by applicable laws, the Websites are provided on an “as is” and “as available” basis. Plura expressly disclaims all warranties of any kind, express or implied, including, but not limited to, implied warranties of merchantability, title, non-infringement, and fitness for a particular purpose. For example, Plura makes no warranty that (a) the Websites (or any portion of the Websites) will meet your requirements or expectations; (b) the Websites will be uninterrupted, timely, secure, or error-free; or (c) the results that may be obtained from the use of the Websites will be accurate or reliable. Plura uses commercially reasonable efforts to ensure that the Websites are available without interruptions and transmissions are error-free. However, by the nature of the Internet, this cannot be guaranteed. In addition, Plura may take some or all of the Websites down for planned repair or maintenance from time to time. Plura will use commercially reasonable efforts to notify you prior to such planned repairs or maintenance. You acknowledge that Plura has no control over and does not guarantee the quality, safety, accuracy, or legality of any event or Organizer Content associated with an Event, the truth or accuracy of any information provided by Users or Attendees (including Attendees’ personal information shared with Organizers in connection with events), or the ability of any User or Attendee to perform or actually complete a transaction. Plura has no responsibility to you for, and hereby disclaims all liability arising from, the acts or omissions of any third parties whose services Plura engages as necessary in order to provide the Websites, that an Organizer chooses to engage in order to assist with an event, or with whom you otherwise choose to contract when using the Websites. The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights. However, the duration of statutorily required warranties, if any, will be limited to the maximum extent permitted by law.
18. Force Majeure
Plura shall not be liable for any failure to and/or delay in performing and/or complying with its obligations to Organizers under these Terms as a result of any Force Majeure Event, which means
any of the following:
act of God;
health emergency such as a global pandemic;
hostility (whether war is declared or not), civil war, rebellion, revolution, insurrection, act of terrorism, or enemy action;
military or usurped power or confiscation, nationalization or national, state, and/or local government sanction, regulation, restriction, or emergency (declared or undeclared);
riot, crime, or civil commotion;
unavoidable casualty, fire, or earthquake;
interruption or failure of electricity or utilities, electrical utilities, or mechanical difficulty, inability to obtain labor, lack of materials, strike (regardless of the cause), lockout, work stoppage, or other labor disturbance;
adverse weather condition (e.g., rain, snow, lightning, etc.); or
i) any other cause or condition, whether similar or dissimilar to any of the foregoing, beyond the reasonable control of Plura.
19. Limitation of Liability
To the extent permitted by applicable laws, or as otherwise set forth herein, Plura and any Person associated with Plura’s provision of the Websites (e.g., an affiliate, vendor, strategic partner or employee) (“Associated Parties”), will not be liable to you or any third party, for: (a) any indirect, incidental, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, opportunity costs, intangible losses, or the cost of substitute Websites (even if Plura has been advised of the possibility of such damages); or (b) Organizer Content. The maximum aggregate liability of Plura is limited to the following: (i) for Organizers of events with paid tickets, the fees (net of Plura Fees) that you paid us in the three (3) month period immediately preceding the circumstances giving rise to your claim, or one thousand U.S. dollars ($1,000), whichever is less, and payable in the currency of the Relevant Jurisdiction; and (ii) for Organizers of events with free tickets only, Attendees or other Users, (1) the total amount of all tickets or registrations that you purchased or made through the Websites in the three (3) month period immediately preceding the circumstances giving rise to your claim; or (2) if you made no such purchases, one hundred U.S. dollars ($100), payable in the currency of the Relevant Jurisdiction. Nothing in these Terms is intended to exclude or limit any condition, warranty, right, or liability which may not be lawfully excluded or limited. Some jurisdictions do not allow the exclusion of certain warranties or conditions or the limitation or exclusion of liability for loss or damage caused by willful acts, negligence, breach of contract or breach of implied terms, or incidental or consequential damages. Accordingly, only those liability and other limitations which are lawful in the Relevant Jurisdiction (if any) will apply to you and our liability shall be limited to the maximum extent permitted by Applicable Laws.
20. Indemnification
This is where you agree to cover Plura if you cause (directly or indirectly) Plura to be the subject of a legal matter, or to face other claims, losses, or expenses, or as otherwise set forth herein, to the extent permitted by Applicable Laws. You agree to defend, indemnify, and hold harmless Plura and each of its respective officers, directors, agents, co-branders, licensors, and other partners and employees, from and against any and all claims, liabilities, damages, losses, and expenses (including attorneys’ and accounting fees and costs), arising out of or in any way connected with (i) your access to, use of, or alleged use of the Websites; (ii) your violation of the Terms or any applicable law or regulation; (iii) your violation of any third party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; (iv) any disputes or issues between you and any third party; (v) any losses suffered by Plura as a result of an event that does not occur as initially specified, including, but not limited to, a change in time, date, location, or material changes to the content, performances, or other programming as initially advertised; or (vi) any other action you take, including operation, management, or organization of the events you list on the Websites. Plura reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim.
21. Dispute Resolution through Arbitration PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS. ANY DISPUTE OR CLAIM UNDER THESE TERMS OR WITH RESPECT TO THE WEBSITES WILL BE SETTLED BY BINDING ARBITRATION BY A SINGLE ARBITRATOR UNDER THE ICDR RULES AND WILL TAKE PLACE ON AN INDIVIDUAL BASIS ONLY; YOU AGREE THAT CLASS, CONSOLIDATED OR REPRESENTATIVE ARBITRATIONS AND CIVIL ACTIONS ARE NOT PERMITTED AND ANY RIGHTS TO BRING SUCH ACTIONS ARE WAIVED BY EACH PARTY. The parties understand that, absent this mandatory provision, they would have the right to sue in court and have a jury trial. They further understand that, in some instances, the costs of arbitration could exceed the costs of litigation and the right to discovery may be more limited in arbitration than in court.
a) Contact Us First.
If you have a question or concern about the Websites, please contact us first. Our support team will try to answer your question or resolve your concern.
b) Agreement to Arbitrate.
In the unlikely event that our customer support team is unable to resolve your concerns, the parties (you and we) each hereby agree to resolve any and all disputes or claims under these Terms, with respect to the Websites or related to our relationship, through binding instead of in courts of general jurisdiction, and only on an individual basis. In no event may either we or you seek to resolve a dispute with the other as part of any purported class, consolidated or representative proceeding. Binding arbitration is subject to very limited review. Only the arbitrator appointed pursuant to this Section, and not any federal, state or local court, will have the authority to resolve any dispute or claim relating to this Section including, without limitation, regarding the scope, enforceability, and arbitrability of these Terms. This arbitration provision will survive termination of these Terms. These Terms evidence a transaction in interstate commerce and the interpretation and enforcement of this Section is governed by the Federal Arbitration Act, notwithstanding the choice of law set forth below.
c) Arbitration Proceedings.
The arbitration will be governed by the International Centre for Dispute Resolution in accordance with its International Arbitration Rules (the “ICDR Rules”), as modified by this Section, and will be administered by the ICDR and settled by a single arbitrator. The ICDR Rules are available online and are also available by calling the ICDR at 1-800-778-7879. All issues in dispute between the parties are for the arbitrator to decide, including, but not limited to, issues relating to the scope, enforceability, and arbitrability of this Section.
d) Scope of Agreement.
This agreement to arbitrate is intended to be broadly interpreted as to legal disputes between you and us. It includes, but is not limited to: (i) all claims arising out of or relating to any aspect of the relationship between us, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory; and (ii) all claims related to your use of the Websites that may arise after termination of these Terms and/or your use of the Websites.
e) No Class Actions.
YOU AND Plura AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, MAY NOT PRESIDE OVER ANY FORM OF CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING AND MAY ONLY PROVIDE RELIEF IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT PARTY’S INDIVIDUAL CLAIM
f) Decisions.
Regardless of the manner in which the arbitration is conducted, the arbitrator will issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. All decisions by the arbitrator will be final and binding and judgment on the award rendered may be entered in any court having jurisdiction. Costs of Arbitration; Legal Fees. Payment of all filing, administration, and arbitrator costs and expenses imposed by ICDR will be governed by the ICDR Rules. The arbitrators will have no authority to award punitive or other damages not measured by the prevailing party’s actual damages, except as may be required by statute. Any award in an arbitration initiated under this clause shall be limited to monetary damages and shall include no injunction or direction to any party other than the direction to pay a monetary amount. The arbitrator shall award to the prevailing party, if any, as determined by the arbitrator,all of their costs and fees. "Costs and fees" mean all reasonable pre-award expenses of the arbitration, including the arbitrators' fees, administrative fees, travel expenses, out-of-pocket expenses such as copying and telephone, costs, witness fees, and attorneys' fees.
g) Modifications.
Notwithstanding any provision in these Terms to the contrary, you and Plura agree that if Plura makes any future change to this arbitration provision (other than a change to the Notice Address) Plura will provide you with notice of such change and you may reject any such change by sending us written notice within thirty (30) calendar days of the change to the Notice Address provided above. By rejecting any future change, you are agreeing that you will arbitrate any dispute between us in accordance with the language of this provision as unmodified by such rejected change.
22. Severability
It is our belief that these Terms do not contain any provision contrary to law. However, if any part of these Terms is determined to be illegal, invalid, or unenforceable, you agree that: (a) that part shall nevertheless be enforced to the extent permissible in order to effect the intent of these Terms, and (b) the remaining parts shall be deemed valid and enforceable.
23. Applicable Law and Relevant Jurisdiction
The following locations constitute the Relevant Jurisdiction governing our relationship: If you are in the United States, these Terms are governed by the laws of the State of California, without regard to its conflict of laws rules.
24. Licenses and Permits Organizers Must Obtain

We encourage you to consult a legal professional if you’re not sure what your Licensure obligations are;
b) You and your affiliates will comply, and will ensure that the venues for each Event hosted by you or your affiliates will comply, with all Applicable Laws;
c) You and your affiliates will maintain in force throughout the term during which you sell tickets through Plura the applicable Licensure for Organizer to promote, produce, sponsor host and sell tickets for all events hosted by you or your affiliates on the Websites;

e) Without limiting your indemnification obligations elsewhere under these Terms, you agree to defend, indemnify and hold Plura, and its affiliates and subsidiaries, and each of its and their respective officers, directors, agents, co-branders, licensors, payment processing partners, other partners and employees, harmless from any and all damage (whether direct, indirect, incidental, consequential or otherwise), loss, liability, cost and expense (including, without limitation, reasonable attorneys’ and accounting fees) resulting from any Claim due to or arising out of your or your affiliates’ Licensure, any failure to obtain or maintain any Licensure, or any error in obtaining or maintaining any Licensure. You agree to provide evidence of Licensure and related information prior to offering tickets or registrations for events on the Websites and promptly upon the reasonable request of Plura from time to time.

Modifications that are material will be effective thirty (30) days following the “Updated” date or such other date as communicated in any other notice to you. You are responsible for reviewing and becoming familiar with any Modifications. Your continued use of the Websites following Modifications constitutes your acceptance of those Modifications and the updated Terms. In certain circumstances, Plura may seek a Modification to these Terms that will only apply to you. This type of Modification must be accomplished by way of a written or electronic document signed by you and an authorized officer of Plura. Plura is constantly evolving our products and Websites to better meet the needs of our Organizers and Attendees. We may, without your consent or approval, freely assign these Terms and our rights and obligations under these Terms whether to an affiliate or to another entity in connection with a corporate transaction or otherwise.
28. Entire Agreement
Except as otherwise set forth herein, these Terms constitute the entire agreement between you and Plura and govern your use of the Websites, superseding any prior or contemporaneous agreements, proposals, discussions or communications between you and Plura on the subject matter hereof, other than any written agreement for Websites between you and an authorized officer of Plura relating to a specified event or events.
29. Feedback
We welcome and encourage you to provide feedback, comments and suggestions for improvements to the Websites (Feedback). Any Feedback you submit to us will be considered non-confidential and non-proprietary to you. Because Plura has no control over such websites and resources, you acknowledge and agree that Plura is not responsible for the availability of such websites or resources, and does not endorse and is not responsible or liable for any Third Party Content, advertising, offers, products, websites or other materials on or available from such websites or resources, or any damages or losses related thereto, even if such websites or resources are connected with Plura partners or third party service providers. For example, if you purchase ticket insurance on Plura from a third party, your contractual relationship is with the third party ticket insurance provider, not Plura.
31. Additional Miscellaneous Provisions
Our failure to enforce any part of these Terms will not constitute a waiver of our right to later enforce that or any other part of these Terms. No oral waiver, amendment or modification of these Terms will be effective. If any provision of these Terms is found to be unenforceable, that part will be limited to the minimum extent necessary and the other provisions of these Terms remain in full force and effect. Section titles in these Terms are for convenience and have no legal or contractual effect. No employment, independent contractor, agency, partnership, joint venture or other such relationship is created by these Terms. We may translate these Terms into other languages for your convenience.
